Please read these Terms and Conditions ("Terms") carefully before using the Tessaiga Technologies website, services, or platform. By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. About us

Tessaiga Technologies is a DevOps consultancy and service provider registered with the Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia — SSM) under registration number 002289124-X. We provide consulting and managed services to clients worldwide and operate an online marketplace where sports photographers can upload and sell their photographs.

2. Use of our website

You agree to use our website only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of, any other user. You must not attempt to gain unauthorised access to our systems, introduce malicious software, or interfere with the normal operation of the website.

3. Consulting and managed services

Professional services engagements are governed by a separate statement of work or service agreement executed between the parties. These Terms supplement, and do not replace, those agreements. Where a signed agreement exists, its terms prevail to the extent of any conflict.

Unless otherwise agreed in writing, deliverables are provided on a time-and-materials or fixed-fee basis, and payment is due in accordance with the applicable invoice terms. Failure to pay on time may result in suspension of work.

4. Marketplace platform

Our marketplace allows sports photographers ("Sellers") to upload, display, and sell photographs, and buyers to purchase those photographs.

4.1 Accounts

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account. Accounts may be suspended or terminated for breach of these Terms.

4.2 Subscriptions

Sellers pay a recurring subscription fee to use the marketplace. Fees are disclosed at the point of sign-up and may be changed from time to time, with reasonable notice. Subscriptions may be cancelled in accordance with the terms shown at checkout.

4.3 Commissions

In addition to the subscription fee, we charge a commission on each sale. The commission rate is disclosed before a sale is finalised and is deducted from the sale price before payouts to the Seller.

4.4 Content and rights

Sellers retain ownership of the photographs they upload. By uploading, Sellers grant us a non-exclusive licence to host, display, and process those photographs for the purpose of operating the marketplace and facilitating sales. Sellers are responsible for ensuring they have the right to sell the photographs they upload and that the content does not infringe any third-party rights.

4.5 Prohibited content

You must not upload content that is unlawful, infringing, defamatory, obscene, or that violates the privacy or rights of any person. We reserve the right to remove content and suspend accounts that violate these rules.

5. Payment processing

Payments for subscriptions and purchases may be processed by us or by third-party payment providers. By making a payment, you agree to the terms of the applicable payment provider. Payouts to Sellers are made subject to identity verification and applicable withholding and tax requirements.

6. Intellectual property

All content on our website, including text, graphics, logos, and software, is the property of Tessaiga Technologies or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from it without our prior written consent.

7. Third-party links

Our website and services may contain links to third-party websites, such as mySolat.net and payment providers. We are not responsible for the content or practices of those websites and encourage you to review their own terms and policies.

8. Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose. To the maximum extent permitted by law, we do not warrant that the services will be uninterrupted, secure, or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Tessaiga Technologies and its owner shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of our website, services, or platform. Our total aggregate liability shall not exceed the amount you paid us in the six months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Tessaiga Technologies and its owner from any claims, damages, losses, and expenses arising out of your use of our services, your breach of these Terms, or your violation of any law or the rights of a third party.

11. Termination

We may suspend or terminate your access to our services at any time if you breach these Terms, or if we are required to do so by law. You may stop using our services at any time. Sections that by their nature should survive termination, including disclaimers, limitation of liability, and governing law, will continue to apply.

12. Changes to these Terms

We may update these Terms from time to time. The current version will always be published on this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
